Terms of Service

1. Who you're contracting with

Minutes (also called "the Service", "we", "us", or "our") is provided by Neuron Learning Private Limited, a company registered in India. These Terms form a binding agreement between you and Neuron Learning Private Limited.

2. Acceptance of these terms

By creating an account or otherwise using Minutes you confirm that you are old enough to enter into a contract in your jurisdiction and that you agree to these Terms. If you do not agree, do not use the Service.

3. The service

Minutes is a focus timer that helps you spend time on what matters. We provide the Service "as is" and do not guarantee that it will be uninterrupted, error-free, or available at all times. We may add, change, or remove features at any time.

4. Your account

You are responsible for keeping your account credentials confidential and for everything that happens under your account. You must provide accurate information and keep it up to date.

5. Acceptable use

You will not:
  • use the Service in violation of any law;
  • use the Service to send spam, phishing, malware, or other harmful content;
  • attempt to interfere with, probe, scrape, reverse engineer, or otherwise disrupt the Service;
  • infringe anyone else's intellectual property or privacy rights; or
  • resell, sublicense, or otherwise redistribute the Service.

6. Intellectual property

Neuron Learning Private Limited owns the Service and all related intellectual property — including the software, design, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these Terms and your selected plan. All other rights are reserved.

7. Payments and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Our own refund timeframe is set out in our Refund Policy.

8. Free trial

We may offer a free trial of Pro features. The trial is provided at our discretion and we may modify or end trials at any time. No payment is taken during the trial.

9. Suspension and termination

We may suspend or terminate your access if you: materially breach these Terms, fail to pay amounts due, present a security or fraud risk, or repeatedly or seriously violate our acceptable-use rules. You may stop using the Service at any time and may delete your account from your account settings, which permanently removes your data.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the amount you have paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud or death or personal injury caused by negligence).

12. Indemnity

You agree to indemnify Neuron Learning Private Limited against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

13. Changes to the terms

We may update these Terms from time to time. If we make material changes, we will give reasonable notice (for example by email or in-app notice). Continued use after the changes take effect means you accept the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts of Hyderabad, Telangana have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory local law requires otherwise.

15. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.

16. Force majeure

We are not liable for failure or delay in performance caused by events beyond our reasonable control.
